Snapshot checked . Source: SEC EDGAR. The live table in your browser keeps updating; this static copy is dated so you can tell how fresh it is.

The live table loads in your browser from the public offering feed: shelf, prospectus and registration filings from SEC EDGAR, newest first, with the time of the last check. It shows the 10 most recent filings without an account. A free account shows all of them with the 12 month share count change on each row. If the table does not load, search dilution filings instead.

How to read the tags

Active sale (424B1 to 424B5). A prospectus supplement. The company can sell shares now under a shelf it already filed. This is the filing that most often comes before new shares reach the market.

Shelf registration (S-3, F-3). Permission to sell shares later, without a new filing each time. An open shelf is a setup, not a sale.

New registration (S-1, F-1). A first or new registration of shares. It can be an IPO or a raise, so read the filing.

Share count change

The change in shares outstanding over the last 12 months, taken from the company's own reports. A rising count means each existing share is a smaller slice of the company. The column is blank where the reports do not give two dated counts.

Questions, answered

What is a shelf registration?
A shelf registration (Form S-3, or F-3 for foreign issuers) lets a company register shares once and sell them later in pieces. The filing alone does not mean shares were sold.
What is an at-the-market offering?
An at-the-market program lets a company sell new shares into the open market over time through an agent, usually under a shelf. The prospectus supplement (a 424B filing) states how much it can sell.
Does an offering filing mean the stock will fall?
No. A filing is a fact about the company, not a forecast of price. New supply can weigh on a stock, and some companies raise money from strength. Read the filing before you act.
Where does the data come from, and how fresh is it?
Filings come from SEC EDGAR and the list can be up to 15 minutes behind it. The time of the last check is shown above the table. Share counts come from the company's reported figures and update when new reports are filed.
Why are bank notes missing?
Banks file thousands of structured note supplements a week. They are not share issuance for the issuer, so the tracker leaves them out.
Can I search older filings or one company?
Yes. The filings search has a dilution topic, a company box and a custom date range.
